Power consumption or noise any concern?
      You want new hardware?

hmmm power consumption isn't too big a priority and on the noise, It doesn't have to be silent, but it needs to be fairly quiet.

basically all I need in terms of suggestions is mobo+cpu+ram+nics.

and all I need is two nics one for wan, and one for LAN going to my gigabit switch.

Plenty of older server hardware on Ebay would meet your specs if you don't need it to be new. You'd need to choose carefully get a relatively quiet one though.

The processing requirement to get to 1Gbps throughput of firewall/NAT is not that large. There is an example Gigabit build here using a Celeron G530. You could easily build up something similar for <$400. You will need something more powerful than that if you want to run Squid/Squidguard as well. A faster harddrive and CPU but I don't really have any figures for how much faster.  :-\ You should be able to do it well within your budget though.

Cool, I think then the retired HTPC I have will do the job then.

I also got to thinking, that there really is no point in doing squid with those kinda speeds.

Anywho I will need to get a couple Intel PCIe Nics but here are the specs of my (kinda) old HTPC

                3GHz AMD A4-4000
                4GB PC1600 DDR3 SDRAM
                500GB 7200rpm HDD (I believe its a Seagate, can't remember though)

The a4-4000 is hard to compare, there aren't any direct benchmarks for it I could find. However it appears to be closely matched with a Core2duo E6400. That is the case it's ~50% slower than the G530 so it may or may not be sufficient.

you could go with the Jetway NF9D-2550 , i am using it at home.

its solid, with a pci slot i have 2 more NIC for LAN.

handles alot of streaming / file backup traffic at the same time letting me maintain less than 180ms on Diablo 3.

An Atom D2550 will not get 1Gbps throughput, even without any packages.

for gigabit i would go for a dell power edge with xeon or an old HP server

I only have a 100M fiber, averaging out on 80-89M, this is sufficient foe me.
