      I have 2 cable modems from the same isp.

      modem 1 has ip of 69.178.5.18 
      modem 2 has ip of 69.178.13.144
      both have a subnet mask of 255.255.192.0 and a defualt gateway of 69.178.0.1

      how would i set this up so load balance will work correctly with fail over?

      I already have my pfsense box up and running with 3 nics (1 configured as WAN1, 1 configured as opt1WAN2, and one configured as LAN)
      I have put the static ips in for the 2 WANs as well.

        You'd have to put a NAT device on one of them since the gateway IPs are the same.
